These Terms of Service (“Terms”) form a legally binding agreement between Zythero Ltd (“Zythero”, “we”, “us”) and the subscribing client (“you”, “your”). By purchasing a Zythero package or otherwise using our services, you agree to these Terms.
1) What we do
Zythero provides content creation, publishing, and monthly reporting for estate agency social media channels. Depending on your package, this includes scheduled posts (property, lifestyle, market content) and, on certain plans, monthly blog articles.
We do not provide full social media management. This means we do not reply to comments or messages, run paid ads, or provide community management unless expressly agreed in writing as a separate service.
2) Content approval & boundaries
- We publish content without requiring pre-approval of each post, to ensure consistency and timeliness.
- Content will be property-relevant, brand-safe, and aligned to the tone/style you specify in onboarding.
- We will not post political, religious, or otherwise controversial content.
- If any post appears off-brand, you may request removal and we will act promptly.
3) Area exclusivity
- Exclusivity is granted per town / neighbourhood specified in onboarding (“Exclusive Area”).
- Each subscription covers one Exclusive Area. Additional areas require separate subscriptions.
- City-wide exclusivity is not available.
- Zythero will not work with another estate agent in your Exclusive Area while your subscription is active and in good standing.
4) Access & client responsibilities
- Provide accurate business details, branding, and timely access to your social pages/profiles.
- Provide listings and media via your chosen method (e.g., shared Drive/Dropbox link or email to content@zythero.com).
- Keep us informed of changes to branding, service areas, or access credentials.
5) Fees, billing & VAT
- All packages are billed monthly in advance via Stripe or GoCardless.
- Prices are shown excluding VAT; VAT is added where applicable.
- If a payment fails, we may suspend service until payment is received.
6) Term, cancellation & refunds
- Subscriptions are month-to-month. You may cancel anytime—there are no long-term contracts.
- When you cancel, no further payments will be taken. Services continue until the end of the paid month.
- No refunds are provided for the current month once services have been delivered.
7) Intellectual property & licences
- You warrant you have rights to all assets you supply (logos, images, text) and you grant us a licence to use them to perform the services.
- Upon full payment, we grant you a perpetual, non-exclusive licence to use the deliverables we create for you on your channels.
- Our underlying templates, processes, and tooling remain our intellectual property.
8) Reporting
We provide a monthly performance summary by the 7th of the following month (posts delivered, reach/engagement snapshots, highlights, recommendations). Access to native platform analytics (e.g., Meta Business Suite, LinkedIn) may be required to complete reports.
9) Confidentiality & data protection
- We keep your non-public information confidential and use it only to deliver the services.
- We process personal data as a processor on your behalf where applicable and in accordance with UK GDPR. See our Privacy Policy for more information.
10) Warranties & disclaimers
- We will provide services with reasonable skill and care.
- We do not guarantee specific results (e.g., sales, leads, rankings). Social platform performance is influenced by many external factors.
11) Liability
- We are not liable for indirect, incidental, or consequential losses.
- Our total liability under these Terms is limited to the fees paid by you to Zythero in the 30 days preceding the claim.
12) Suspension & termination
- We may suspend services for non-payment or material breach.
- Either party may terminate for material breach not remedied within 14 days of written notice.
13) Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use of the services after changes constitutes acceptance of the revised Terms.
14) Governing law
These Terms are governed by the laws of Scotland, UK, and the Scottish courts shall have exclusive jurisdiction.
